This Domain Registration Agreement (the "Agreement") is entered into between Kanorio, Inc. ("Kanorio", "we", "us") and you, on behalf of yourself or the entity you represent (the "Registrant", "you"). Kanorio offers domain name registration services as a reseller participating in the distribution channel of Tucows Domains Inc. (operating as OpenSRS), the ICANN-accredited sponsoring registrar (the "Registrar").
By registering, renewing, transferring, or otherwise using a domain name obtained through Kanorio, you agree to be bound by this Agreement and by the Registrar's registration agreement and policies, which are incorporated into this Agreement by reference (see "Incorporated Agreements and Policies"). If you do not agree, do not register or renew a domain name.
1. Parties and Sponsoring Registrar
Kanorio, Inc. is the reseller that provides the ordering interface, billing, DNS automation, and support for your domain name. The sponsoring ICANN-accredited registrar of record is Tucows Domains Inc. (OpenSRS). Kanorio is not an ICANN-accredited registrar.

2. Acceptance of This Agreement
By completing a domain name registration or renewal, you acknowledge that you have read, understood, and agree to this Agreement, the Registrar's Master Domain Registration Agreement (Exhibit A), applicable TLD-specific terms, and all applicable ICANN policies. This Agreement applies each time you register, renew, or manage a domain name through Kanorio.
3. Eligibility and Accurate Registration Data
You represent that you are of legal age to enter into a binding contract and that the information you provide is your own or that you are authorized to provide it. You must provide and maintain true, accurate, current, and complete contact information for the domain name registrant, administrative, technical, and billing contacts.
Providing false or inaccurate contact information, or failing to update it within seven (7) days of any change, or failing to respond for over fifteen (15) days to inquiries concerning the accuracy of contact information, constitutes a material breach of this Agreement and may result in suspension or cancellation of the domain name registration by the Registrar.
4. Fees, Renewal Fees, and Payment
You agree to pay the fees applicable to your domain name registration, renewal, and any related services at the prices displayed at the time of purchase. Fees are charged in the currency shown at checkout and are exclusive of any applicable taxes unless stated otherwise.
The following fees are made available to you at the time of registration and may be reviewed at any time on the Registrar's pricing page. Kanorio's resale fees may differ from the Registrar's wholesale fees:
- Registration fee (charged per registration term).
- Renewal fee (charged for each renewal term, including automatic renewal).
- Post-expiration renewal fee, if different from the standard renewal fee.
- Redemption / restore fee, charged to recover a domain name during the Redemption Grace Period after expiration.
We may change our fees at any time. Where a fee change affects the automatic renewal of your domain name, we will notify you in advance. Except as required by applicable law, all fees are non-refundable, including where a domain name is suspended or cancelled for breach of this Agreement.
5. Automatic Renewal
To help prevent the accidental loss of your domain name, automatic renewal is enabled by default. If automatic renewal is enabled, you authorize Kanorio to charge your stored payment method for the applicable renewal fee approximately fourteen (14) days before the domain name's expiration date, for a one (1) year renewal term unless otherwise indicated.
The renewal price is charged at the then-current renewal fee, which may differ from your initial registration price (for example, where the first term was offered at a promotional rate) and may vary due to registry price changes or currency fluctuation. You may view the estimated renewal price and turn automatic renewal on or off at any time from the domain settings in your Kanorio account. Turning off automatic renewal before the renewal charge stops future automatic renewals.
If an automatic renewal payment fails, we will attempt to notify you and may retry. Repeated payment failures may result in automatic renewal being disabled and, if the domain name is not renewed, in its expiration and deletion.
6. Expiration, Grace Periods, and Deletion
Domain names are registered for a fixed term. If a domain name is not renewed before its expiration date, it will begin an expiration and deletion process. Following expiration, the domain name may be deactivated and enter a renewal grace period during which it can typically still be renewed at the standard renewal fee.
If still not renewed, the domain name will generally be deleted from Kanorio's active management and submitted for deletion at the registry approximately zero (0) to five (5) days after the expiration date. For most gTLDs, deletion at the registry is followed by a 30-day Redemption Grace Period (RGP), during which the domain name may be recovered by paying the applicable redemption / restore fee in addition to the renewal fee. After the Redemption Grace Period, the domain name enters a pending-delete period and is then released and may become available for registration by others.
Redemption, restoration, and deletion timelines are ultimately governed by the applicable registry and ICANN policies and may vary by TLD.
7. Renewal Reminder Notices
Renewal reminder notices are sent by email to the registrant email address on record. You will receive at least two (2) reminders before the expiration date (approximately one month and approximately one week before expiration) and, if the domain name expires and is deleted, at least one (1) notice after expiration containing instructions for recovery.
Because these notices are sent to the registrant email address on record, it is your responsibility to keep your contact information accurate and current so that you receive them.
8. Domain Name Transfers
You have the right to transfer your domain name to another registrar in accordance with the ICANN Transfer Policy. Newly registered domain names are subject to a 60-day transfer lock following registration, during which transfers away may be denied.
To transfer a domain name away, you may unlock the domain name and obtain the authorization (EPP / auth) code from your Kanorio domain settings; the authorization code is sent to the registrant email address on record. You must then initiate the transfer at your new registrar.
9. Registration Data, WHOIS, and Privacy
Registration data is processed by the Registrar in accordance with ICANN's Registration Data Policy and applicable law. Registration data is redacted from the public WHOIS / RDDS by default; a method is provided for third parties to contact the domain owner. If you provide an Organization value, the Organization may be treated as the domain owner and may be published in the public WHOIS by some registries.
Where a WHOIS privacy service is offered and elected, the terms and conditions of the Registrar's privacy service apply. The Registrar may keep the registrant's contact data on file and may be required to escrow registration data with a third-party escrow provider and to disclose data as required by applicable law, ICANN policy, or a registry operator.
10. Dispute Resolution Policies
You agree to be bound by the Uniform Domain Name Dispute Resolution Policy (UDRP), the Uniform Rapid Suspension (URS) system, and any other dispute resolution policies and registry policies applicable to your domain name, each as amended from time to time and incorporated by reference. In the event of a domain name dispute, you agree to indemnify and hold harmless the Registrar and Kanorio pursuant to the applicable policy.
11. Suspension and Cancellation
The Registrar may, in its sole discretion, suspend or cancel a domain name registration: if you breach this Agreement; if you fail to provide payment or accurate contact or billing information; if there was an error in the registration process; as required by ICANN or a registry operator; to protect the integrity and stability of the Registrar or a registry; to comply with applicable laws, government rules, requests of law enforcement, or court orders; in compliance with any dispute resolution process; to combat DNS abuse; or to avoid liability, civil or criminal. Upon cancellation for any reason, you will not receive a refund for fees already paid.

13. Representations and Warranties
You represent and warrant that, to your knowledge, neither the registration of your domain name nor the manner in which it is directly or indirectly used infringes the legal rights of any third party, and that the domain name is not being registered for any unlawful purpose.
14. Indemnification
You agree to indemnify, defend, and hold harmless Kanorio, the Registrar (Tucows), the applicable registry operators, and their respective directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your domain name registration or use, your breach of this Agreement, or your violation of any rights of a third party or applicable law.
15. Limitation of Liability and Disclaimers
Domain name registration services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Kanorio and the Registrar disclaim all warranties, express or implied, and shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or domain name registration, arising out of or related to your domain name.
To the maximum extent permitted by law, Kanorio's aggregate liability arising out of or related to your domain name shall not exceed the fees you paid to Kanorio for the affected domain name during the then-current registration term.
16. Changes to This Agreement and Fees
We may modify this Agreement and applicable ICANN and Registrar policies from time to time. Material changes will be communicated by posting the updated Agreement or by other reasonable means. Your continued registration, renewal, or use of a domain name after such changes constitutes acceptance of the updated Agreement.
17. Governing Law
This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except that the registrant's relationship with the Registrar and the registries is additionally governed by the incorporated Registrar and registry agreements and applicable ICANN policies.

The following agreements and policies are incorporated into this Agreement by reference. In the event of a conflict between this Agreement and a mandatory provision of an ICANN policy or the Registrar's registration agreement, the mandatory provision controls with respect to your domain name registration:
